Advanced Corporate Law. Prerequisite: Law 7101. This course will provide an opportunity for in-depth study of one or more areas of corporate law, for example: theories and consequences of the corporate form and limited liability; the rights of various claimants such as bondholders, preferred shareholders and holders of common stock; corporate finance (including capital structure, leverage, and valuation); the duties of loyalty and care and the business judgment rule; "other constituency" statutes; other corporate agents, including attorneys, accountants, and investment bankers; proxy regulations; and struggles for control.

Note: This seminar will focus on global issues in corporate law. By looking at issues which U.S. corporations face in the global economy we will clarify our understanding of American corporate law, as well as familiarize ourselves with selected foreign corporate laws (in translation into English). Possible topics include limited liability; creditor protection; choice of law; insider trading; and takeovers. Meets Writing Requirement. A research paper is required. May be taken for 2 or 3 credit hours; a longer, more in-depth research paper is required for 3 hours. Limited to 12 students. Pre-req: LAW 7101-Corporations.
